Job description:

  • Commercial transactions relating to the Company’s trading business, investments and commercial operations, including preparation and review of term sheets, purchase and sale contracts, marketing and distribution agreements, and documentation for structured transactions
  • Financing matters including bank facilities, structured funding transactions, inventory financing, structured repos, other third party loans, deposits, secured financing 
  • Counterpart credit risk, funding, and liquidity coverage, Company tax and accounting matters;
  • Claims and liabilities, including management of legal and regulatory proceedings
  • M&A transactions and investments
  • Shareholders agreements, partnership agreements, and joint venture agreements
  • Employment and labour matters
  • Regulatory and compliance matters
  • Insurance solutions including credit, logistics, commercial risk and liability coverage and claims
  • Restructurings, terminations and management of contracted life cycle events (e.g., credit or default events)
  • Coordinating execution of transactions by working closely with front office and management, liaising with internal and external advisers, and with banks and other third parties, including management of transaction legal documentation prepared by external legal advisers and counter parties
  • Managing outside counsel
  • Monitoring ongoing legal, regulatory and market developments in Europe and the CIS region affecting relevant business areas, and keeping relevant stakeholders informed

Your profile:

  • Fluent in English and French are essential, other languages would be beneficial
  • Qualified lawyer, with strong academic credentials and admission to the Bar in Luxembourg or other EU country or the UK
  • Excellent law firm training and experience (5 - 10 years) with a major law firm, or equivalent “in house” experience gained in a major commodity trading or finance-related firm
  • Primary legal experience in a trading or finance-related practice, or substantial relevant corporate M&A practice legal experience
  • Experience in in both civil and common law matters and transactions
  • Dynamic, delivery driven and detail oriented.  Candidate must be confident, personable, and hard-working.  Must be strategic thinker capable of competently and comfortably advising and interacting with front office, finance personnel, and management.  Must be capable of working both autonomously and as part of a cross-disciplinary team
  • Excellent negotiation, drafting and communication skills
  • Self-motivated: must be a self-starter with roll-up sleeves mentality and high energy level, strategic mind and good personal chemistry.  Work is fast-paced and intensity fluctuates.
  • Must operate at all times with the highest level of integrity and ethics
  • Must have real desire to add value, learn the business fast, and be part of the team and business
