Job description:
- Comprehensive review of fund documentation related to client fund structures focusing on private equity and alternative investment funds (“Funds”) serviced and/or its affiliates, including review of offering documents, subscription documents, constitutive documents and material agreements, to ensure that disclosures relating to the company or its affiliates are true and accurate and that all disclosures which affect the company or its affiliates in the provision of services to such Funds are accurate and in accordance with company’s legal, compliance and risk standards
- Drafting/negotiation of agreements between the company, Funds and investment managers in connection with the provision of administration and other services to Funds
- Liaising and negotiating with external legal counsel to Funds and with investment manager in house counsel in connection with client service requirements including where appropriate service level agreements
- Advising the company, its affiliates and, where appropriate, its investment manager clients on cross border regulations affecting the provision of administration services to Funds
- Acting as a point of contact for in-house legal queries, and providing internal legal advice to the staff on all matters including the impact of legislative and regulatory changes which affect the business or its affiliates
- Reviewing and negotiating legal contracts and other agreements to be entered into between the company or its affiliates with external counter parties in connection with its business
- Where appropriate and, in conjunction with the AGC, engage and manage the use of external counsel on various matters
- Assist in regulatory and internal audit inspections and assist in developing internal policies and procedures arising out of regulatory/audit inspections
- Assist in the provision of training to staff and the preparation of internal legal bulletins, policies/procedures relating to existing laws/regulations and any changes thereto which affect the administration of Funds
- Prepare reports on legal matters for internal senior management as appropriate
- As and when required, providing the above services and support for affiliate offices of the company and liaise with lawyers in other offices
Your profile:
- Qualified lawyer with experience in private equity and alternative investment fund structures
- Candidates should have five years PQE with a law firm or a combination of in-house and law firm experience, preferably with private equity and alternative investment fund related experience
- Candidates should have an understanding of private equity investment fund structures including master/feeder structures, limited partnerships and corporate entities. Knowledge of common offshore jurisdictional structures including the Cayman Islands is preferable but not essential
